We test what is being presented against how the business actually operates. We identify weaknesses that may reduce buyer confidence or value, then build a practical plan to address them before the business goes to market.
Financials, profitability, stock, cash flow and working capital+
We review historical financial performance and the information supporting it—not simply the final accounts. PBS examines sales quality, gross margin, overheads, unusual or personal expenses, normalised earnings, product and customer profitability, debtors, creditors, stock accuracy, obsolete or slow-moving stock, stock-control disciplines, cash conversion and the working capital a new owner will require. Where relevant, we review bills of materials, costing methods, pricing and margin leakage so the commercial picture can be explained clearly and credibly.
Customers, suppliers, contracts and commercial validity+
We assess whether the customer base is genuine, active and likely to remain with the business after a sale. This includes customer history, retention, repeat business, concentration, profitability, complaints, payment behaviour, contracts and relationships that depend personally on the owner. We also examine key suppliers, pricing arrangements, rebates, credit terms, supply continuity, exclusivity and other commercial dependencies that a buyer needs to understand.
People, historical employment costs and operational capability+
PBS builds a clear picture of the team the buyer will inherit: employee history, roles, tenure, experience, qualifications, performance, remuneration, overtime, incentives, leave obligations, benefits and the true historical cost of employment. We assess key-person risk, vacancies, succession needs, reporting lines, staff turnover, HR records, contracts, policies, disciplinary history and training. We also document how the operation works through organisation charts, process maps, SOPs, operations manuals, controls, asset registers and compliance records.
Buyer-ready information, due diligence and transition planning+
We organise the evidence into a structured, buyer-ready information pack and help prepare the business profile or information memorandum. PBS anticipates likely buyer questions, checks that claims can be supported, coordinates information requests and helps management respond consistently without losing control of the day-to-day business.
