Selling or buying?
Move with confidence.

Independent, practical guidance for owners preparing to sell and buyers who need to understand what they are really buying.

We help resolve obstacles early, reduce avoidable delays and accelerate your sale or purchase.

01

For business owners

Prepare to sell from a position of strength.

A buyer does not only assess turnover. They look for dependable earnings, clean information, resilient operations and risks they can understand. PBS helps you prepare all four.

Sale readiness and value-driver assessment

We test how attractive, transferable and defensible the business will appear to a serious buyer. This identifies the strengths that support value, the risks likely to reduce it and the practical work required before the business goes to market.

Profitability, bills of materials and working capital

PBS examines whether margins are real and repeatable. Bills of materials, direct labour, overhead recovery, pricing, stock and working-capital requirements are reviewed so the seller can explain how the business makes money with evidence—not assumptions.

Buyer-ready information and due-diligence pack

We organise the financial, commercial, operational, asset, customer, supplier and people information a buyer will expect. A coherent information pack reduces delays, improves credibility and helps management answer difficult questions consistently.

SOPs and an operating manual for the new owner

A transferable business cannot live only in the owner’s head. We help document critical routines, responsibilities, controls, system steps, quality standards and reporting rhythms in practical SOPs and a clear operating manual that supports continuity after handover.

HR documentation and the full cost of staff

Contracts, job descriptions, remuneration, incentives, benefits, leave, skills and key-person dependencies are brought into a clear people picture. This helps a buyer understand the true ongoing cost of the team and highlights employment matters that require local legal or tax confirmation.

Questions, negotiation and practical handover

PBS stays close when buyer questions intensify—helping prepare responses, explain operating realities and structure a workable transition. The objective is not simply to reach agreement, but to protect value and leave the business ready to operate under new ownership.

For prospective buyers

Know what you are really buying.

Financial statements are essential, but they do not show everything. PBS looks at the commercial and operational reality behind the numbers.

Practical commercial and operational due diligence

We look beyond the accounts to test how the business actually wins work, delivers, controls risk and converts activity into cash. The result is a clearer view of what is dependable, what needs attention and what the buyer will need to invest after acquisition.

Customer, supplier and concentration risks

Revenue quality, customer dependence, contracts, supplier leverage, lead times and alternative sources are examined together. This reveals how exposed performance may be to the loss of one relationship, a price change or a disruption in supply.

Bills of materials, margin integrity and cash needs

Product and service economics are tested from the ground up. We examine bills of materials, labour, overhead absorption, stock, pricing and working-capital cycles to establish whether reported margins can be sustained and how much cash the business will really require.

People obligations and the cost of taking over staff

PBS builds a practical view of payroll, benefits, incentives, leave, key skills, vacancies and other employment-related costs or exposures. This allows the buyer to budget for the full team cost and refer jurisdiction-specific transfer, legal and tax matters to the appropriate specialists.

SOPs, systems, assets and owner dependencies

We test whether the operation is documented, repeatable and adequately resourced. Missing SOPs, informal controls, ageing assets, system gaps and knowledge held by the outgoing owner are identified before they become the new owner’s problem.

New-owner operating manual and first-100-day plan

Findings are translated into a practical transition playbook: immediate controls, key relationships, reporting routines, priority fixes and decisions for the first 100 days. The new owner starts with an operating agenda rather than a blank page.

Buyer due diligence

One decision. Five connected lenses.

Due diligence is part of the Selling & Buying service—not a separate general advisory offer. PBS brings the financial, commercial, operational, people and transition findings together so the buyer can see the whole business.
